These Terms of Service (“Terms”) govern access to and use of the wdpw restaurant operations platform (the “Service”). By creating an account, signing in, or using the Service in any other way, you agree to these Terms. If you are entering into these Terms on behalf of an organization, you represent that you have the authority to bind that organization.
1. The Service
wdpw provides a connected restaurant operations platform that includes point-of-sale, kitchen display, table management, inventory, customer relationship management, workforce management, analytics, and supporting modules. We offer the Service through a web application, an iPad application distributed via the Apple App Store, and an Android application where applicable.
2. Accounts
2.1 Tenant accounts
A tenant account is created by a restaurant owner or operator (the “Tenant Owner”). The Tenant Owner is responsible for the data entered into the account and for the activity of all staff users they invite.
2.2 Staff users
Tenant Owners can invite staff users (cashiers, waiters, managers, etc.) and assign them roles. Staff users may use the Service only within the scope of their assigned role and for the legitimate business purposes of the Tenant.
2.3 Account security
You are responsible for maintaining the confidentiality of your credentials. You must notify us promptly if you suspect unauthorized use of your account.
3. Acceptable use
You agree not to:
- Use the Service to violate any applicable law or regulation.
- Upload or transmit content that infringes intellectual property rights, violates privacy, or contains malware.
- Attempt to bypass authentication, access another tenant’s data, or compromise the security of the Service.
- Reverse-engineer, decompile, or attempt to extract the source code of the Service except where expressly permitted by law.
- Use the Service to send unsolicited bulk communications to your customers beyond what local marketing-consent law permits.
- Resell, sublicense, or commercially exploit the Service without our prior written consent.
4. Subscriptions and billing
Paid plans are billed monthly or annually as agreed at sign-up. Fees are quoted in the currency stated on the invoice. Payments are processed by our payment partners and are non-refundable except where required by law.
We may change pricing for new contract terms; existing subscriptions will not be repriced mid-term. Material price changes for renewals will be communicated at least 30 days before the renewal date.
5. Customer data and data ownership
You retain ownership of the data you upload to the Service (“Customer Data”). You grant wdpw a worldwide, non-exclusive license to host, process, transmit, and display Customer Data solely as necessary to provide and improve the Service.
You are responsible for ensuring you have the right to upload Customer Data and for complying with applicable data protection laws regarding the customers whose data you enter (see the Privacy Policy).
6. Third-party services and integrations
The Service integrates with third-party providers including payment processors (e.g. Paymob), tax authorities (e.g. the Egyptian Tax Authority), aggregator marketplaces (e.g. Talabat, Uber Eats, Deliveroo), and supporting infrastructure (e.g. Render, Cloudflare, Neon, Sentry). Your use of these third parties is subject to their own terms. wdpw is not responsible for the availability, accuracy, or behavior of third-party services.
7. Intellectual property
The Service, including all software, design, documentation, and trademarks, is owned by wdpw or its licensors and is protected by intellectual property law. Nothing in these Terms transfers ownership of the Service to you. We grant you a limited, non-exclusive, non-transferable license to use the Service for the duration of your active subscription.
8. Service availability
We strive to maintain high availability but do not guarantee uninterrupted access. Scheduled maintenance, outages of upstream providers, and emergency security patches may cause downtime. We will use commercially reasonable efforts to notify Tenant Owners of significant disruptions.
9. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT, EXCEPT AS REQUIRED BY APPLICABLE LAW.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL WDPW BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR LOST DATA, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE. OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING IN A GIVEN 12-MONTH PERIOD WILL NOT EXCEED THE FEES YOU PAID FOR THE SERVICE DURING THAT PERIOD.
11. Indemnification
You agree to indemnify wdpw against claims, damages, and expenses arising from your use of the Service in violation of these Terms, your Customer Data, or your violation of any applicable law.
12. Termination
You may terminate your account at any time by contacting us. We may suspend or terminate access immediately if you violate these Terms or use the Service in a way that risks harm to other users or to the platform itself.
On termination, you may export your data within 30 days. After that, we will delete your data within 180 days, subject to any legal retention requirements (e.g. tax records).
13. Changes to these Terms
We may update these Terms as the Service evolves. Material changes will be communicated to Tenant Owners at least 14 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
14. Governing law and venue
These Terms are governed by the laws of the Arab Republic of Egypt, without regard to conflict-of-law principles. Any dispute arising out of or in connection with these Terms will be resolved exclusively by the competent courts located in Cairo, Egypt, except where local mandatory consumer protection law grants you the right to a different forum.
